ATTENDEE TERMS AND CONDITIONS

The following terms and conditions relate to ticket-holder attendance at the State of Black Food Conference conducted by Chef Kulture, LLC and PBCi, LLC (collectively known as “SOBF”). By registering as a ticket-holding attendee, you (the “Attendee”) signify your acceptance of and obligation to these terms and conditions.
Ticket Purchase
Tickets for the “State of Black Food: Black Wall Street Edition” conference are available for purchase online. All ticket purchases are final, and payments must be completed for tickets to be valid. A confirmation email will be sent upon successful completion of your purchase.
Ticket Transfer
Tickets are transferable up to 14 days prior to the event. To transfer your ticket, please contact hello@stateofblackfood.com with the new attendee’s information. Transfers made after this period will not be accommodated.
Refund Policy
All ticket sales are non-refundable. In the event of extenuating circumstances, refund requests may be considered on a case-by-case basis at the sole discretion of the organizers. No refunds will be issued for cancellations made within 30 days of the event.
Event Changes
The organizers reserve the right to make changes to the event schedule, speakers, and venue as necessary. Any significant changes will be communicated via email to ticket holders.
Event Cancellation
If the conference is canceled by the organizers, ticket holders will be offered a full refund or the option to transfer their ticket to a future event. The organizers are not responsible for any additional costs incurred by ticket holders as a result of such cancellation.
Health and Safety
All attendees must comply with any health and safety guidelines in place during the conference, including but not limited to COVID-19 regulations such as mask-wearing or social distancing requirements. Failure to comply may result in removal from the event without a refund.
Code of Conduct
All attendees are expected to conduct themselves in a respectful and professional manner. Disruptive or inappropriate behavior may result in removal from the conference without a refund. The organizers are committed to providing a safe and welcoming environment for all participants.
Liability
The organizers are not liable for any personal injury, loss, or damage to personal property occurring at the conference. Attendees participate at their own risk and are encouraged to take care of their belongings.
Recording and Photography
By attending the conference, you grant the organizers permission to use any photographs, video, or audio recordings taken during the event for promotional and marketing purposes. If you do not wish to be recorded, please inform the event staff upon arrival.
Intellectual Property
All materials presented at the conference are the intellectual property of the respective speakers and organizers. Attendees may not reproduce, distribute, or use such materials without express written permission.
Accessibility
The organizers are committed to providing an accessible event for all participants. Please contact [contact email] if you require any special accommodations.
Amendments
The organizers reserve the right to amend these terms and conditions at any time. Ticket holders will be notified of any changes, and continued participation in the event will constitute acceptance of the revised terms.
SPONSOR TERMS AND CONDITIONS

The following terms and conditions relate to Sponsorship of the State of Black Food Conference conducted by Chef Kulture, LLC and PBCi, LLC. (collectively known as “SOBF” and/or referred to as the “Sponsee”). By registering for a Sponsor Package, you (the “Sponsor”) signify your acceptance of and obligation to these terms and conditions.
General Terms and Conditions
All Sponsor Package Registrations are subject to Sponsee’s approval and acceptance. Acceptance of the Sponsor Package Registration shall constitute an agreement to provide Sponsor promotional and event benefits as described in the Package description. The Sponsor, by registering for the Sponsor Package, acknowledges that he/she has read and understood all of the terms contained herein, and that this Sponsor Package Registration is subject to all such terms which are expressly made a part of this Registration. Cancellations or changes in the Sponsor Package Registration are accepted only in writing to the Sponsee, and must be received on or before the Advertising Closing Date for the applicable services and inclusion. Sponsors are responsible for submission of advertising copy and materials by material deadlines. Sponsee reserves the right to deny inclusion if materials are not submitted by deadlines. Payment for Sponsor Package is final and non-refundable.
Sponsor Benefits
The Sponsee agrees to grant the Sponsor all sponsorship rights, as listed and defined in the selected and paid for Sponsor Package Registration. It is agreed that the Sponsorship Period begins upon successful completion/payment of Sponsor Package Registration, and ends 30 days after the event date. The Sponsor agrees to provide: Basic Company Contact Information (i.e. Company Names, Addresses, Phones, Websites, Email), Company Logo/Likeness, Company Descriptions and/or Bios, and Advertising Creatives corresponding to the size allotted for the paid Sponsor Package (for inclusion in the State of Black Food Conference Commemorative Book).
Event Marketing/Creatives
As a Sponsor of this event, you give authorization to SOBF to use representation of your organization name, likeness, logo and associated language/images to use in promotional materials and media related solely to this event specifically. It is understood that use of said likeness, et al, may not be used by SOBF without express permission after a period of 30 days after the event conclusion. Sponsor hereby grants Sponsee the right and license to use, reproduce, transmit and distribute all creative materials supplied by or on behalf of Sponsor, including without limitation, all text, graphics, illustrations and photographs (the “Creative”). Sponsor represents and warrants that (i) it has all the necessary rights in the Creative; (ii) the Creative does not violate any applicable law or regulation; and (iii) the Creative does not violate or infringe upon any third party right in any manner or contain any material or information that is defamatory, libelous, slanderous, that violates any person’s right of publicity, privacy or personality or may otherwise result in any tort, injury, damage or harm to any person. Sponsor acknowledges that Sponsee is relying on the foregoing representations and warranties.
Indemnity Agreement
The Sponsor and advertising agency agree to indemnify and hold harmless Sponsee and any and all Sponsee’s publishing clients with whom Sponsee may have contracted for any and all loss, expense or other liability (including attorney’s fees) arising from any claim of libel, violation of privacy, plagiarism, copyright any advertised copy submitted, any advertised copy submitted, infringement, omission, incorrect information or placement and any other claim or suit that may arise out of the publication of printed or published. Sponsor and advertising agency also agree to indemnify and hold harmless Sponsee and any and all of Sponsee’s publishing clients with whom Sponsee may have contracted from the loss of any artwork, materials, separations, negatives and other materials submitted to Sponsee for said advertisement or for raw materials submitted to Sponsee for production of advertisement, such as copy and photography, and any related expense or other liability (including attorney’s fees). Venue for claims or collection actions arising from this agreement shall be Tulsa, Oklahoma.
Audio/Visual Rules and Release
By participating in the State of Black Food Conference, Sponsor understands that portions of the event’s live events may be recorded in video and audio and/or captured in still and/or digital photographs by SOBF. Sponsor agrees that SOBF and its assigns have the right and permission to use such recordings and photographs should they include Sponsor’s name, likeness, voice, biographical details, testimonial, or photograph for marketing, advertising or any other purpose in any media or format, online and/or offline, now or hereafter without further compensation, permission, or notification to the Sponsor. Sponsor understands and agrees that all recordings from the SOBF’s events are the exclusive rights of the SOBF and Sponsor does not ask for or expect compensation for the use of recordings or photographs in which Sponsor appears or speaks. SOBF owns all rights of any audio, video, and/or photograph captured during the State of Black Food Conference or at any of the Sponsee’s other live events.
Online Advertising
The Sponsee has no liability and Sponsor indemnifies Sponsee in relation to any failure of telecommunications services or systems which affect the receipt by Sponsee of an advertisement or the publication of a campaign.
Sponsee makes no representation or warranty in relation to the number of visitors to its websites or the number of impressions at any site except for any made expressly in writing by Sponsee.
If creative is received after expressed due date and results in a campaign being delayed, the publication of the advertisement will be considered to have commenced as of the date on the insertion order.
All click-through URLs must enable the browser’s back feature to allow users to return to Sponsee‘s website.
Sponsee will not be held responsible for consequential costs or other damages due to loss or damage of digital ad materials.
Privacy Policy
By visiting our event site and participating in the State of Black Food Conference, Sponsors acknowledge and agree that they are subject to the Privacy Policy and Terms of Use of the promoter, which are listed at: https://stateofblackfood.com/privacy-policy
Cancellation
All requests for the cancellation of any Sponsorship Package Registration, regardless of sponsorship level and amount, and including in-kind and fiscal sponsorships, must be submitted in writing to SOBF no later than 30 days after the sponsorship agreement is signed. Cancellation requests received after this time will not be eligible for a refund. Approved cancellations made within the specified time frame will be subject to a cancellation fee of $500 to cover administrative costs. Refunds, minus the cancellation fee, will be processed within 30 days of written approval. Sponsorships canceled outside of the allowed time frame are non-refundable.
Sponsor Package Registrations cancelled at the request of the Sponsor after advertising has commenced will result in the Sponsor’s Advertisement being removed from all online and print space that is not already in circulation, however the Sponsor will not be entitled to a refund.
Dispute Arbitration
In the event of a dispute arising that the parties themselves cannot resolve, the parties agree to refer the matter to an independent arbitrator appointed by mutual agreement.
If the parties cannot agree on an arbitrator, or both parties do not agree with the decision of the arbitrator appointed, the agreement may be terminated in the following manner:
If the breach is one that can be rectified, then the non-breaching party can request in writing that the breach be rectified in 14 days. If the breach is not rectified within that time, the non-breaching party may terminate the Agreement immediately;
- If the breach is one that cannot be rectified, the non-breaching party may terminate the Agreement by giving 14 days written notice of their intention to terminate.
- If either party goes into liquidation, is wound up, dissolved (except for the purpose of reconstruction or amalgamation), enters into a scheme of arrangement or is placed under official management or in receivership, the other party may terminate the Agreement by giving 14 days written notice of their intention to terminate under the clause.
- In the event of a termination under this Agreement, each party’s rights and liabilities will cease immediately but the termination shall not affect a party’s rights arising out of a breach of this agreement by the other party.
- Where one party is unable to carry out its obligations under this agreement due to circumstances beyond its control or which it could not have prevented, those obligations are suspended whilst those circumstances continue, provided the other party is notified and the first party uses its best endeavors to overcome the circumstances preventing its obligations from being carried out.
- Each party shall indemnify the other against any claims arising from any breach of the agreement by either party.
- The terms and conditions of this agreement shall not be disclosed to any third parties without the prior written consent of both parties.
- The rights of either party under this agreement shall not be transferable or assignable either in whole or in part.
Review and Jurisdiction
These Terms will be governed by and construed in accordance with the laws of the State of Oklahoma. Sponsor agrees that any dispute that arises out of or relates to these Terms, Conditions and Disclaimers will be resolved via legally binding arbitration in the State of Oklahoma at a time and location convenient to SOBF. If any of these Terms and Conditions are found unlawful, void, or for any reason unenforceable, then that provision will be considered severable from the remaining terms of use, and will not affect the validity and enforceability of the remaining provisions.
EXHIBITOR AND PRESENTER TERMS AND CONDITIONS

The following terms and conditions relate to your participation in any of State of Black Food Conference events, activities, or workshops which are conducted by Chef Kulture, LLC and PBCi, LLC (collectively known as “SOBF”), its officers, agents, employees and committees authorized to act for it in the promotion and management of the Conference.
By registering for the Conference, you (the “Exhibitor/Presenter”), meaning the exhibiting company, its officers, agents, employees and any other representative authorized to act for it in connection with its participation in the Conference, signify your acceptance of and obligation to these terms and conditions. If you have any objections to the following Terms, and Conditions you should not register to exhibit or present at the Conference.

Exhibitor/Presenter Eligibility
Participation as an exhibitor is open to businesses relevant to the themes and goals of the State of Black Food conference. The organizers reserve the right to determine the eligibility of any company or product for inclusion.
Cancellation and Refund Policy
Cancellation of the Exhibitor Agreement will be accepted only at the sole discretion of SOBF. All requests for the cancellation of any Exhibitor Package Registration must be submitted in writing to SOBF 45 days before the conference start date.
ALL PAYMENTS ARE NON-REFUNDABLE, but are transferable, should the Exhibitor wish to directly sell paid registration to another company/business if unable to attend. The Exhibitor must notify SOBF in writing immediately upon the selling/transfer of paid reservation.
Event Marketing/Creatives
As a Presenter/Exhibitor of this event, you give authorization to SOBF to use representation of your organization name, likeness, logo and associated language/images to use in promotional materials and media related solely to this event specifically, including but not limited to the event website, social media, and printed materials. It is understood that use of said likeness, et al, may not be used by SOBF without express permission after a period of 60 days after the event conclusion.
Exhibitor Regulations
1) A table top exhibit is a standard (6′ x 30”, 12’ x 30”, 18’ x 30”) table with a draped cloth which will be supplied by the Exhibitor/Presenter, unless otherwise specified or purchased from SOBF, along with 2 – 3 chairs, depending on the Exhibitor Package level.
2) Table Top Displays. The following are permitted on table top displays: educational sales literature; samples of ingredients, additives, or laboratory products; displays that fit on top of the table. Maximum size allowed for these displays is 4 feet above table. No materials will be placed in front of or beside the table. Video equipment must be placed on table. The following are prohibited from being displayed IN FRONT OF table top displays: free standing floor displays larger than the table; displays which are higher than 4 feet above the table or obstruct the view of adjoining exhibits; These items are permitted but must be displayed BEHIND the table. Mechanical, electrical or other devices which produce sound are permitted, as long as they do not prove disturbing to other Exhibitors.
3) Only two Exhibitors are included in the fee, any additional person(s) must register for the event in order for them to display at the table. Subletting of the space by the Exhibitor is prohibited.
4) Electricity will be provided for the displays upon request, for an additional cost. Electricity must be requested and paid in advance of Conference. However, SOBF cannot provide power and/or extension cords. Exhibitor is responsible for his/her own connection to existing and available venue power outlets.
5) Each Exhibitor should have an authorized representative present at the booth throughout the exhibit period and during the set up and dismantling of displays.
6) No solicitation, interviews, or distribution of literature may be conducted outside the confines of the Exhibitor’s individual table top area, UNLESS the Exhibitor has also registered and been approved as a Workshop Presenter. Exhibitors are prohibited from displaying logos of other trade organizations/associations.
7) Arriving exhibits shall be received at areas which SOBF designates, and shall be plainly marked, with charges prepaid. Booths are assigned according to date of receipt of Agreement and payment.
8) The exhibits may be set up between 6:00 A.M. and 8:00 A.M. and dismantled between 6:00 P.M. and 8:00 P.M. on exhibit day. Company staff will check each table to ensure that all rules have been followed.
9) Should a violation(s) be determined, the Exhibitor must remedy the violation immediately or, failing to comply, forfeit the table. No refunds will be made to the Exhibitor due to forfeiture for non-compliance.
10) If the Exhibitor does not occupy its exhibit space by the time set for completion of display installation, SOBF may repossess the space for other use.
11) Exhibits shall remain fully intact until the exhibition has officially ended. Exhibits shall be removed from the building by the time specified in the agreement. If the Exhibitor fails to comply in the allotted time, SOBF reserves the right, at Exhibitor’s expense, to ship or store exhibit or to make other disposition of the property, without any liability to SOBF.
12) Members of SOBF staff will be available on site to answer any questions and to insure that all policies are followed.
13) SOBF assumes no risk. By accepting this agreement, the Exhibitor expressly releases SOBF from any and all liability for damage, injury, or loss to any person, goods, or from any cause whatsoever.
14) Any laws, rules or regulations imposed on SOBF, either by any government authority or the meeting site, shall also be binding on Exhibitors. SOBF shall not be liable to Exhibitors for any changes that may have to be made to comply with local law or meeting site requirements.
15) Booth Assignment. Exhibitor booths are assigned on a first-come, first-served basis, subject to the receipt of a completed application and full payment. The organizers reserve the right to make changes to booth assignments if deemed necessary for the event’s success.
16) Exhibitors may not share or sublet booth space without prior written consent from the organizers.
17) Code of Conduct. All Exhibitors must conduct themselves in a professional manner and comply with the event’s code of conduct. Disruptive or inappropriate behavior may result in removal from the event without refund.

Liability Waiver
While we take every possible measure to ensure safety of all Exhibitor/Presenters at the Conference, we cannot control every circumstance. The Exhibitor/Presenter is legally responsible for their safety and any belongings and agrees to, and will be held legally liable for the following statements: I, the willing Exhibitor/Presenter of the Conference, hereby accept all risk to my health and of my injury or death that may result from participating in the Conference and I hereby release SOBF, and SOBF’s officers, employees, interns, contractors, sponsors and representatives from any and all liability to me, my personal representatives, estate, heirs, next of kin, and assigns for any and all claims and causes of action for loss of or damage to my property and for any and all illness or injury to my person, including my death, that may result from or occur during my participation at the Conference, whether caused by negligence of SOBF, its governing board, officers, employees, or representatives, or otherwise. I further agree to indemnify and hold harmless SOBF and any third-party company from liability for the injury or death of any person(s) and damage to property that may result from my negligent or intentional act or omission while attending and participating in the Conference. Under no circumstances will SOBF or their assigns be held liable for my injury or death or any loss or damage of my personal belongings resulting from my participation in the Conference. Should I require emergency medical treatment as a result of accident or illness arising during my attendance and participation in the Conference, I consent to such treatment. I acknowledge and I agree to be financially responsible for any medical or legal bills that may be incurred as a result of emergency medical treatment. I will notify SOBF verbally and in writing if I am at any time injured prior to, during, or after the Conference in my travels or attendance, or if I have medical conditions about which emergency medical personnel should be informed; however, I understand that SOBF is not legally obligated to act on that information in any way or to providing any medical service whatsoever to me. I agree that if I have any medical or psychological conditions that may hamper me from fully and healthfully participating in the Conference that I will notify SOBF in writing and that SOBF retains the right to ask that I not participate in portions of or the entirety of the Conference.
Confidentiality and Non-Compete
Exhibitor/Presenter hereby understands that the tools, processes, strategies, materials and information presented in the Conference are confidential, copyrighted, and proprietary to SOBF and agrees not to record, duplicate, distribute, teach or train from the Conference materials in any manner whatsoever without the express written permission of SOBF. Any unauthorized use or distribution of these proprietary concepts, materials, and intellectual property by you or your representatives is prohibited and SOBF will pursue legal action and full damages if these terms are violated in order to protect its rights.
Privacy Policy

ADVERTISING TERMS, CONDITIONS, AND AGREEMENTS

The following terms and conditions relate to online and/or print advertising in conjunction with the State of Black Food Conference conducted by Chef Kulture, LLC and PBCi, LLC (collectively known as “SOBF” or the “Publisher”). By registering for Advertising, you (the “Advertiser”) signify your acceptance of and obligation to these terms and conditions.
General Terms and Conditions
All Advertising Registrations are subject to Publisher’s approval and acceptance. Acceptance of the Advertising Registration shall constitute an agreement to provide advertising space as described in the Registration description. The Advertiser, by registering for the Advertising, acknowledges that he/she has read and understood all of the terms contained herein, and that this Advertising Registration is subject to all such terms which are expressly made a part of this Registration. Cancellations or changes in the Advertising Registration are accepted only in writing to the Publisher, and must be received on or before the Advertising Closing Date for the applicable services and inclusion. Advertisers are responsible for submission of advertising copy and materials by material deadlines. Publisher reserves the right to deny inclusion if materials are not submitted by deadlines. Payment for all advertising is final and non-refundable.
Creative Usage
Advertiser hereby grants Publisher the right and license to use, reproduce, transmit and distribute all creative materials supplied by or on behalf of advertiser, including without limitation, all text, graphics, illustrations and photographs (the “Creative”). Advertiser represents and warrants that (i) it has all the necessary rights in the Creative; (ii) the Creative does not violate any applicable law or regulation; and (iii) the Creative does not violate or infringe upon any third party right in any manner or contain any material or information that is defamatory, libelous, slanderous, that violates any person’s right of publicity, privacy or personality or may otherwise result in any tort, injury, damage or harm to any person. Advertiser acknowledges that Publisher is relying on the foregoing representations and warranties.
Indemnity Agreement
The advertiser and advertising agency agree to indemnify and hold harmless Publisher and any and all Publisher’s publishing clients with whom Publisher may have contracted for any and all loss, expense or other liability (including attorney’s fees) arising from any claim of libel, violation of privacy, plagiarism, copyright any advertised copy submitted, any advertised copy submitted, infringement, omission, incorrect information or placement and any other claim or suit that may arise out of the publication of printed or published. Advertiser and advertising agency also agree to indemnify and hold harmless Publisher and any and all of Publisher’s publishing clients with whom Publisher may have contracted from the loss of any artwork, materials, separations, negatives and other materials submitted to Publisher for said advertisement or for raw materials submitted to Publisher for production of advertisement, such as copy and photography, and any related expense or other liability (including attorney’s fees). Venue for claims or collection actions arising from this agreement shall be Tulsa, Oklahoma.
Online Advertising
The Publisher has no liability and Advertiser indemnifies Publisher in relation to any failure of telecommunications services or systems which affect the receipt by Publisher of an advertisement or the publication of a campaign.

Cancellation
Cancellation of any Advertising Registration can be made at the request of the Advertiser at any time, and must be received in writing. Advertising Registrations cancelled at the request of the Advertiser after the advertising has commenced will result in Advertisement being removed from all online and print space that is not already in circulation at the time of the cancellation request; however the Advertiser will not be entitled to a refund.
